Terms of Service

These Terms of Service ("Terms") govern your use of KeepCert, provided by KeepCert ("we", "us"). By creating an account or using the service, you agree to these Terms. Our Privacy Policy is incorporated into these Terms by reference and forms part of your agreement with us.
Acceptance of Terms
By accessing or using KeepCert, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the service.
Description of Service
KeepCert is a compliance tracking SaaS platform for trade companies (HVAC, plumbing, electrical, and similar trades). The service helps you track technician licenses, certifications, and credentials and sends automated alerts before they expire.
User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. You must provide accurate information and keep it up to date.
Subscription & Billing
Paid plans are billed through Stripe on a recurring basis at the interval you select. New subscriptions are covered by a 14-day money-back guarantee — if you request a refund within 14 days of your initial paid charge, we will refund it in full. After the 14-day window, payments are non-refundable. Subscription terms and cancellation policies are outlined in your service agreement. If no separate agreement exists, subscriptions renew automatically and you may cancel before the next billing cycle to stop future charges. Cancellation does not refund the current billing period.
KeepCert reserves the right to increase Charges annually by the greater of 3% or the increase in consumer price index (CPI). All Charges are non-refundable and non-cancellable, even if termination occurs prior to the expiration of the subscription term.
Acceptable Use
You agree not to misuse KeepCert. That includes, but is not limited to: attempting to gain unauthorized access to the service or other accounts, interfering with normal operation of the service, uploading malicious content, reverse engineering the platform, or using the service to violate any applicable law.
Intellectual Property
KeepCert owns the platform, including its software, design, and branding. You retain full ownership of the data you upload — your technician records, credentials, and documents are yours. By using the service, you grant us a limited license to store, process, and display that data solely to operate the service for you.
Limitation of Liability
KeepCert is a tool to help you manage compliance information. You are responsible for compliance decisions your business makes. To the maximum extent permitted by law, KeepCert is not liable for any indirect, incidental, or consequential damages, including lost contracts, fines, or business losses, arising from your use of or reliance on the service. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.
No Professional Advice
The Service is a compliance management tool and is not a substitute for professional legal, regulatory, or compliance advice. You are solely responsible for ensuring compliance with all applicable laws, regulations, and licensing requirements. KeepCert does not guarantee that use of the Service will ensure compliance with any particular law or regulation.
Termination
Your subscription will automatically renew for additional periods unless you provide written notice to cancel at least 30 days prior to the renewal date. Upon termination, you will have 30 days to request an export of your data before it may be deleted.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the application. Continued use of the service after the changes take effect constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
Dispute Resolution
Any dispute arising out of this Agreement shall be resolved through binding arbitration in the State of Florida pursuant to the Commercial Rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys fees and costs.
